1. Definitions

1.1. Service Provider: Coaching with Delia provides (career) coaching services. Registered at the Dutch Chamber of Commerce under 94764212 and VAT identification number NL005108402B30.

1.2. Client: Any individual or organization that enters into an agreement with the Service Provider to receive coaching services.

1.3. Agreement: Any written or verbal agreement between the Service Provider and the Client.

2. General provisions

2.1. These Terms and Conditions apply to all Agreements, Offers, and Services provided by the Service Provider. By using the Service Provider's services, the Client agrees to these Terms and Conditions.

2.2. Any deviations from these Terms and Conditions must be agreed upon in writing.

2.3. Dutch law applies to all Agreements and disputes arising from these Terms and Conditions.

2.4. The Service Provider reserves the right to update these Terms and Conditions. Clients will be notified of significant changes.

3. Services

3.1. The Service Provider provides (career) coaching services tailored to the Client’s needs.

3.2. Coaching sessions are not therapy or counseling and do not guarantee specific (career) outcomes.

3.3. Services will be performed to the best of the Service Provider's ability, in accordance with professional standards.

3.4. The Service Provider may refuse or terminate services if the Client’s behaviour is deemed inappropriate or if the Client fails to comply with the Agreement.

3.5. Coaching sessions may involve tools, exercises, or assessments. The Client is responsible for actively participating and applying insights gained from these sessions.

4. Appointments and payment terms

4.1. Appointments must be scheduled in advance and will be confirmed via email or another agreed method.

4.2. Appointments canceled more than 24 hours in advance may be rescheduled at no extra cost.

4.3. Appointments canceled within 24 hours of the scheduled time will incur a cancellation fee of up to 100% of the session cost.

4.4. Payment must be made in advance unless otherwise agreed.

4.5. Objections to the invoice amount do not suspend the Client's payment obligation.

4.6. Prices are exclusive of VAT unless otherwise stated in the quotation.

4.7. Invoices must be paid within 14 days of the invoice date. Late payments may incur statutory interest and additional collection fees as permitted under Dutch law.

4.8. If payment is not made within the initial payment term, the Client will receive a reminder via email with a new payment term of 14 days.

4.9. If the invoice remains unpaid after this period, a formal demand will be sent by both postal mail and email, including an administrative fee of 10% of the invoice amount.

4.10. If the formal demand is not settled within 8 days, the matter will be transferred to a collection agency, with all associated costs borne by the Client.

5. Liability

5.1. The Service Provider is not liable for any direct or indirect damage resulting from services provided, except in cases of intent or gross negligence.

5.2. Participation in coaching sessions is at the Client’s own risk. The Client is responsible for their own decisions and actions.

5.3. The Service Provider is not liable for the loss or theft of personal belongings during sessions.

5.4. In the event of force majeure (e.g., extreme weather, illness, or other unforeseen circumstances), the Service Provider reserves the right to reschedule appointments without liability.

6. Confidentiality and privacy

6.1. Both parties are required to maintain strict confidentiality regarding all information obtained from one another or from any other source in connection with the assignment. Each party shall take all necessary measures to protect the other party’s interests in this context.

6.2. The Service Provider shall handle all information relating to the Client with the utmost confidentiality. Disclosure of such information to the Client’s Employer shall occur only with the Client’s explicit written consent. Any deviation from this policy, as permitted under the applicable Code of Conduct, requires a written agreement among all involved parties prior to the commencement of services. This provision does not apply to general updates on the progress of the work, which may be provided as part of the assignment.

6.3. The Service Provider and any non-individual Employer shall process personal data in compliance with all applicable data protection laws and regulations. Both parties are responsible for fulfilling their respective obligations regarding information and communication with the Client. Furthermore, they agree to exchange all necessary information in a timely manner to ensure full compliance with applicable privacy laws during the performance of the assignment.

7. Dispute resolution

7.1. In the event of a dispute, both parties agree to first attempt to resolve the issue amicably.

7.2. If no resolution is reached, disputes will be submitted to the competent court in the Netherlands, unless mandatory law dictates otherwise.

8. Final provisions

8.1. Should any provision of these Terms and Conditions be found invalid or unenforceable, this will not affect the validity of the remaining provisions.
